Business Customer Terms of Service

Effective May 19, 2026 — RepayIQ, Inc.

1. Agreement Scope

These Business Customer Terms apply to any business, organization, dealer, landlord, property manager, HOA, condo association, lender, finance company, or other entity that creates an account, sends verification links, receives reports, or otherwise uses RepayIQ services.

2. Service Description

RepayIQ allows Business Customers to send applicants a secure verification link. Applicants may authorize RepayIQ to access and analyze financial information through third-party providers such as Plaid. RepayIQ then generates a report that may include income verification, transaction analysis, affordability analysis, Payment Reliability Index, RepayIQ Score, risk band, reason codes, fraud indicators, and PDF output.

3. No Final Decisioning by RepayIQ

RepayIQ provides verification, analytics, and decision-support information only. RepayIQ does not approve or deny any applicant, loan, lease, sale, financing, tenancy, HOA approval, membership, or other transaction. Business Customer is solely responsible for all final decisions, policies, notices, adverse action obligations, fair lending or fair housing obligations, and compliance with applicable law.

4. Customer Eligibility and Account Setup

Customer must provide accurate business information and maintain current account information. Customer must designate account administrators and protect login credentials. Customer may only allow authorized personnel with a legitimate business need to access reports. Customer must promptly notify RepayIQ of suspected unauthorized access or misuse.

5. Permitted Uses

Customer may use RepayIQ only for lawful, disclosed, applicant-authorized business purposes, such as evaluating payment capacity for auto financing, buy-here-pay-here arrangements, lease/rental applications, HOA/condo applications, payment plans, small-dollar lending, or other approved purposes. Customer must certify permissible purpose where required.

6. Prohibited Uses

Prohibited uses include: using reports for employment, insurance, immigration, criminal justice, or any other purpose not approved in writing; using RepayIQ as the sole basis for an adverse decision; using reports in a discriminatory, deceptive, unfair, or unlawful manner; sharing reports outside Customer personnel with a legitimate need; attempting to reverse engineer scoring models or circumvent access controls; submitting applicant phone numbers without a legitimate application or applicant relationship; and using transactional verification messages for marketing or lead generation.

7. Applicant Consent and Business Authorization

Customer is responsible for ensuring it has a lawful relationship with each applicant before entering applicant contact information. Customer must not send a verification link without a legitimate business purpose. RepayIQ will present Applicant Consent and Authorization before data access, but Customer remains responsible for its own notices, disclosures, and authorizations required by law.

8. Completed Verification Billing

RepayIQ charges only for completed verifications unless the applicable Order Form states otherwise. A completed verification generally means the applicant completed consent, successfully connected required data sources, and RepayIQ generated a report or manual-review result. No fee is charged for links that are sent but not opened, opened but abandoned, expired, or failed solely due to RepayIQ system error.

9. Plans, Fees, and Payment

Plans may include monthly, annual, one-time, or enterprise pricing. Current plans: One-Time at $39 per completed verification; Starter at $99/month (3 included, $29/report overage); Professional at $299/month (15 included, $19/report overage); Growth at $899/month (50 included, $14/report overage); Enterprise with custom pricing. Customer authorizes RepayIQ or its payment processor to charge applicable fees. Fees are non-refundable except as expressly stated or required by law.

10. Month-to-Month and Annual Terms

Month-to-month subscriptions renew monthly until cancelled. Annual agreements renew annually unless cancelled within the notice period in the Order Form. Enterprise terms, minimums, and early termination provisions must be specified in the Order Form.

11. Reports and Score Limitations

RepayIQ reports are based on available data at the time of verification. Data availability varies by applicant, financial institution, Plaid availability, transaction history, and applicant authorization. A RepayIQ Score is not a traditional credit score, is not a guarantee of repayment, and may be limited when there is insufficient transaction history.

12. FCRA, ECOA, Fair Housing, and Other Compliance

Customer is responsible for determining whether and how FCRA, ECOA, fair housing, state tenant-screening, auto finance, lending, privacy, and other laws apply to Customer use. If a report is used in whole or in part for an adverse action, Customer is responsible for providing required notices and following required dispute or copy-of-report processes.

13. Data Rights and Use

Customer grants RepayIQ the right to process Customer Data and Applicant Data to provide the service, prevent fraud, maintain security, comply with law, support the customer, create reports, maintain audit records, and improve RepayIQ models and services as described in the Privacy Policy and Data Processing Addendum.

14. Confidentiality

Each party may receive confidential information from the other. The receiving party must use reasonable care to protect confidential information and may use it only to perform or receive the services, comply with law, or enforce the agreement.

15. Security

RepayIQ will maintain commercially reasonable administrative, technical, and physical safeguards designed to protect applicant and customer information. Customer must maintain its own safeguards for report access, user permissions, downloaded PDFs, and applicant communications.

16. Suspension and Termination

RepayIQ may suspend access for nonpayment, security risk, suspected misuse, unlawful activity, violation of terms, or legal risk. Either party may terminate as stated in the Order Form. Upon termination, access to the dashboard may end, but retention and deletion of data will follow the Privacy Policy, DPA, applicable law, and legal hold requirements.

17. Indemnification

Customer agrees to indemnify RepayIQ for claims arising from Customer decisions, Customer misuse of reports, unlawful use, failure to provide required notices, discrimination, unauthorized applicant submissions, or breach of these Terms.

18. Disclaimers and Liability

Except as expressly stated, the service is provided without warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. RepayIQ's total liability is limited to fees paid by Customer in the three months preceding the claim.
